TotalEnergies EP Gabon: Ordinary Shareholders’ Meeting on May 30, 2024

Approval of all resolutions supported by the Board of Directors

PORT-GENTIL, Gabon–(BUSINESS WIRE)–Regulatory News:

TotalEnergies EP Gabon’s (Paris:EC) Ordinary Shareholders’ Meeting was held today in Port-Gentil, chaired by Mr. Michel ANTSELEVE, vice-chairman of the Board of Directors. The shareholders adopted all the resolutions supported by the Board of Directors, including in particular:

  • Approval of the 2023 financial statements (IFRS and OHADA frameworks) and the payment of a net dividend of $22.22 per share related to the financial year 2023.
  • The ratification of the co-optations of the following persons as directors:

– Ms. Renée Estelle NSI BENGONE and Ms. Stéphanie MPEMBA MBADINGA for the remainder of their respective predecessors’ term of office as directors, i.e. until the General Meeting to approve the financial statements for the 2024 financial year

– Mr. Xavier ROUZEAUD for the remainder of his predecessor’s term of office as a director, i.e. until the Shareholders’ Meeting to approve the financial statements for the 2023 financial year

– Mr. Mike SANGSTER, Mr. Thomas MAREEL, Mr. Brice de Léon RETENO NDIAYE for the remainder of their respective predecessors’ term of office as directors, i.e. until the General Meeting approving the financial statements for the 2024 financial year

  • Renewal of the directors’ mandates of the Gabonese republic and MM. Karim CHAOUCHE, Georges-Eric N’KOMA and Xavier ROUZEAUD for a two-year term expiring at the end of the Annual Shareholders’ Meeting called to approve the 2025 financial statements
  • The renewal of the terms of office of statutory auditor entrusted to Ernst & Young Gabon and Mr. Yves Frédéric FUMANAL for a period of six years, i.e. until the Annual General Meeting to approve the financial statements for the 2029 financial year

The Board of Directors in its meeting today approved the modalities of the dividend payment. The $22,22 per share dividend will be paid in euro as from June 28, 2024, in an equivalent amount of €20.55 per share, based on the European Central Bank’s rate (or its corresponding value in CFA francs) of $1.0815 per euro on May 30, 2024.
